B. Requiremcnts for Completion of Subscription:

(a) Documentation:

(i) Instrument of Commitment (IoC) to be signed on behalf of the member by a duly authorized representative, substantially in the form set forth, in the enclosed ATTACHMENT I.

(b) Paynient:

(i) The above amount of outstanding subscription XAF 74,440,537 is papable in cash OR by Promissory Note.

(ii) If payment is made in cash, the amount should be deposited to IDA's cash account "A" with Banque des Etats de l'Afrique Centrale.

Kindly instruct Banque des Etats de l'Afrique Centrale to advise payment into IDA's cash accourt by facsimite, Fax No. (202) 522-2447, ATTN: Mrs. Caroline Sadacca and send a bank statement showing the credit to ou r accourt.

(iii) .If payment is made by Promissory Note, Cameroun must su±mit an application for substitution of note, together with a specimen Prontissory Note (ATTACHMENT Il and ATTACHMENT III)

The original signed Promissory Note must be deposited into IDA's Securities Custody Accourt "G" with Banque des Etats de l'Afrique Centrale (ATTACHMENT III)

Kindly send a signed copy of the Note (ATTACHMENT IR) together with a copy of the Request for Note.Substitution (ATTACHMENT II) by facsimile, Fax No. (202) 522-2447, ATTN: Mrs. Caroline Sadacca.

To coniplete payment by Promissory Note, it is also necessary that Banque des Etats de l'Afrique Centrale confimts to IDA receipt and deposit of the Note by facsimile, Fax No. (202) 522-2447, ATTN.: Mrs. Caroline Sadacca (ATTACHMENT IV).

C. The entrent number of votes of Cameroon in IDA is 26,050. Upon coenpletion of the process described above, Cameroon's votes will be adjusted to 40,456.

Reference is made to the following Resolutions of the Board of Governors of the International Devdopmenr Association:

The Government of Cameroon hereby gives notification that it will make the subscriptions authorized thereunder for the Government of Cameroon in accordante with the terms of each of the said Resolutions.

Pursuant tu'Resolution No. 184, "Establishment of Interim Trust Fund", June 26, 1996, the Board of Governors authorized the allocation of voting rights in IDA ta ITF contributors on account of their contributions upon termination of the ITF. The ITF 'vas terminated on May 25, 2001. To enable Pan II members to maintain their relative voting power, they were authorized to make subscriptions to the ITF.

1. tic Govemment of Cameroon hereby gives notice of its desire to avail itself of the provisions of Section 2(e) of Article II of the Articles of Agreement of the Association and paragraph 4(a) of Board of Governors' Resolution Nos. 102, 117, 132, 142, 150, 174,_ 183, 184", 194, and 204 by substituting for currency of the undersigned which is payable on its additional subscriptions to the replenishments authorized by the above Resolution numbers, a non-negotiable, non-interest-bearing demand note of the Government of Cameroun.

2. The amount of such currency for which such note is to be substituted and the aggregate principal amount of such note is XAF 74,440,537.

3. Such note will be in denomination of CFA francs BEAC and is to be in the foret of the specimen note attached hereto and made a part hereof.

4. Attached hereto are the specimen signatures of the person or persons who have been duly authorized to sign and deliver such note.

5. It is hereby represented and certified that the execution and delivery of such note has been duly authorized in accordante with applicable laves and regulations and such note, in such form, when signed by one of such authorized persons and received by Banque des États de J'Afrique Centrale, as Depository, for the account of the Association will constitute valid and binding obligations of the obligor on such notes in accordante with their ternis and that they will be lawfully held by said Depository for accourt of and subject to die order of the Association.

6. It is understood and agreed that, notwithstanding the deliveiy and acceptance of such notes in substitution for such currency:

(a) the obligation of the undersigned, under the Articles of Agreement of the asociation, and the ternis and conditions of any addhional subscriptions under the replenislunents authorized by the above Resolution numbers, to pay to the Association the amount of such currency represented by such note shall only be discharged by payment to the Association of such amount in such currency and to the extent of such payment, and

(b) the amount of such note at any time outstanding and unpaid shall for ail purposes be deemed to be the currency of the undersigned held by the Association and originally paid by the undersigned to the Association on account of the subscriptions of the undersigned to the replenishments authorized by the above Resolution numbers of the resources of the Association.

i. The Govermnent of Cameroon hereby agrees to execute and deliver to the Association any and ail such further instruments and fumish such other information as the Association shall reasonably request in order fully to comply with the provisions of the Articles of Agreement of the Association, Board of Govemors' Resolution Nos. 102, 117, 132, 142, 150, 174, 183, 184", 194, and 204 and the Associations Circular No. 1, dated July 1, 1974 (as may be amended).

ATTACHMENT III

FORM OF NOTE

FOR IDA SUBSCRIPTIONS

1. For value received, the Govertunent of Cameroon hereby promises to pay to INTERNATIONAL DEVELOPMENT ASSOCIATION (the Association") on demand, the sont of XAF 74,440,537 withoat interest.

2. All or any part of such sum shall be paid, upon demand made in writing or by facsimile transmission, authenticated SWIFT or telex to the

by credit of the amount so dentanded to the account of the Association with the depository dulÿ designated by the Government of Cameroon pursuant to Section 9 of Article VI of the Articles of Agreement of the Association. If payment of a part only of said sum shatl be demanded and made, a notation of such partial payment shall be endorsed on the reverse of this note or, at the option of the Association, a new note, in substantially the came form as this note, for the sum remaining unpaid hereon shah be executed and delivered in exchange for this note.

3. This note is executed and delivered pursuant to the provisions of Resolufion Nos. 102, 117, 132, 142, 150, 174, 183, 184", 194, and 204 and of the Board of Governors of the Association adopted and of Section 2(e) of Article II of the Articles of Agreement of the Association.

4. This note is non-negotiable.
